By accessing or using Upsella's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Description of Service

Upsella provides an AI-powered SMS marketing platform designed for Shopify stores. Our services include automated upsell campaigns, product recommendations, and analytics tools. Access to certain features may require a paid subscription.

3. Account Registration

To use our services, you must create an account and connect your Shopify store. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to:

• Send unsolicited or spam messages
• Violate TCPA, CTIA, or other applicable regulations
• Use the service for illegal or harmful purposes
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the service

5. Billing and Payments

Subscription fees are billed monthly at $29.00 USD. Additional SMS message costs are charged at $0.02 per message. All fees are non-refundable unless otherwise stated. You may cancel your subscription at any time.

6. SMS Compliance

You are responsible for ensuring that your use of our SMS services complies with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA) and CTIA guidelines. You must obtain proper consent before sending marketing messages to consumers.

7. Intellectual Property

The Upsella platform, including all content, features, and functionality, is owned by EganAI, LLC and is protected by copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by law, Upsella shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the service.

9. Termination

We reserve the right to terminate or suspend your account at any time for violations of these terms or for any other reason at our sole discretion.
